TERMS AND CONDITIONS

Please find below the Terms & Conditions of Sale of Visual8 Productions Limited (V8). All work undertaken by V8 is done so under these terms and conditions.

1 Charges

V8 define all planned charges on the specific quotation for each project.

1.1 Pre-production.

1.1.1 The stage, prior to filming, for planning purposes, shall be known as pre-production.

1.1.2   Should the duration of pre-production become excessive, due to reasons outside the control of V8 (e.g. significant change to brief), V8 reserve the right to charge for the additional time spent.

1.1 Production

1.1.1 Time spent by V8 crew, on day(s) of filming, shall be known as production.

1.1.2 Should the duration of production exceed the planned figure, due to reasons outside the control of V8 (e.g. significant change to brief, weather conditions, subject unavailable), V8 reserve the right to charge for the additional time spent.

1.1.3 Unless agreed otherwise at time of order, a ‘Full Day’ filming shall mean up to 8 hours (inclusive of reasonable breaks). The day shall start when V8 crew arrive on site. A ‘Half Day’ filming shall mean up to 4 hours on the same basis as the above.

1.1.4 Unless agreed otherwise, in writing, it shall be the responsibility of the Client to obtain permission for filming at the required locations and to pay any applicable fees.

1.2 Post-production

1.2.1 The stage, post filming, shall be known as post-production.

1.2.2 V8 shall complete a ‘first edit’ for the Client to view and amend as required. V8 shall then complete a ‘second edit’. If there are further edit requirements, unless agreed otherwise at time of order, V8 reserve the right to charge for any additional time spent beyond the second edit stage.

1.3 Equipment Rental (Production)

1.3.1 Should the project require specialist equipment for the day(s) of production V8 would hire this for the planned period.

1.3.2 Should the production run beyond the planned period, it would be at the discretion of the hire company as to whether the period could be extended. If the reason for exceeding the planned period is outside the control of V8 (e.g. significant change to brief, weather conditions, subject unavailable), then V8 reserve the right to pass on any additional costs incurred.

1.4 Specialist Services (Production)

1.4.1 Should the project require specialist services for the day(s) of production (e.g. actors, actresses, presenters) V8 would hire this for the planned period.

1.4.2 Should the production run beyond the planned period, it would be at the discretion of the provider as to whether the period could be extended. If the reason for exceeding the planned period is outside the control of V8 (e.g. significant change to brief, weather conditions, subject unavailable), then V8 reserve the right to pass on any additional costs incurred.

1.5 Specialist Services (Pre-production/Post-production)

1.5.1 Should the project require specialist services during the pre-production/post-production process (e.g. Professional Voiceover Artist, 3D Animation) V8 would hire this for the planned period.

1.5.2. Should the pre-production/editing run beyond the planned period and the reason for exceeding the planned period is outside the control of V8 (e.g. significant change to brief), then V8 reserve the right to pass on any additional costs incurred.

1.6 Travel Expenses

1.6.1 On projects where production requires that travel and subsistence are applicable, the cost would be stated on each project specific quotation.

1.6.2 Should production run beyond the planned period and the reason for exceeding the planned period is outside the control of V8 (e.g. significant change to brief, weather conditions, subject unavailable), then V8 reserve the right to pass on any additional costs incurred.

  1. Payment

2.1 Payment Plan

2.1.1 The payment plan would be stated on the project specific quotation and would be in the format: Deposit X%, Completion of First Edit Y%, Completion of Final Edit Z%.

2.1.2 Unless otherwise stated on the project specific quotation, all invoices to be paid within 14 days from date of invoice.

  1. Booking

3.1 A Booking

3.1.1 V8 deem a booking to have been made upon receipt of either the deposit payment or an instruction to proceed.

3.1.2 V8 would confirm any booking that is made.

3.2 Cancellations

3.2.1 Having made a booking, should the Client decide to cancel the project or fail to fulfil their obligations which lead to a cancellation, V8 reserve the right to invoice for all costs incurred. In cases where a cancellation is received less than 10 working days prior to the day of filming, then the deposit would be non-refundable.

3.2.2 Should V8 be unable to film, due to reasons outside their control, then V8 reserve the right to invoice for all costs incurred.

3.3 Rescheduling

3.3.1 Should the client or others re-schedule the date of filming then V8 reserve the right to invoice for all costs incurred.

3.4 Amendments

3.4.1 Any amendments to the original specification must be in writing and agreed to by both parties.

3.5 Liability

3.5.1 Should V8 be unable to perform their duties for any reason, including but not limited to: fire, theft, illness and are unable to provide a competent alternative, all payments received by V8 shall be returned to the client and V8 shall have no further liability.

  1. Branding

4.1. V8 reserve the right to place their branding at the beginning/end of finished videos. Any client objections to this practice must be raised, in writing, prior to making a booking.

  1. Copyright

5.1 V8 would own copyright of each video until payment is received in full.

5.2. V8 reserve the right to use each video, in full or part, for advertising purposes and for promoting V8 services. Any client objections to this practice must be raised prior to making a booking.

  1. Legal Jurisdiction

6.1 All services provided by Visual8 Productions Limited and any dispute that arises is subject to the laws of England, Northern Ireland, Scotland and Wales.
